Footnotes DAMAGED VEHICLE DISCLAIMER FORM (PURCHASER AND DEALER)
1. Purchaser acknowledges that the Vehicle (as defined below) it is purchasing has suffered the Damage (as defined below). Purchaser is entering into this Agreement, in consideration of the reduced price of the Vehicle, of its own free will and has read and understood the terms of this Agreement.
2. Purchaser acknowledges and agrees that:
(a) The Damage has been specifically brought to the Purchaser’s attention prior to purchasing the Vehicle;
(b) The Purchaser will make no claim in respect to the Damage (including any indirect or consequential Damage which is not presently apparent);
(c) Without limiting the above, the Purchaser has no entitlement to make a claim under the Toyota New Vehicle Warranty or other warranties offered by Toyota Motor Corporation Australia Ltd ABN 64 009 686 097 of 155   Bertie Street, Port Melbourne (Lexus) in respect to the Damage;
(d) The Damage (including any indirect or consequential Damage which is not presently apparent) will not be covered by the Lexus New Vehicle Warranty or any other warranties offered by Lexus; and
(e) The Lexus warranties do not limit and may not necessarily exceed the Purchaser's rights under the Competition and Consumer Act 2010. This document does not purport to exclude, restrict or modify any right or  remedy, or any guarantee, warranty or other term or condition, implied or imposed by any legislation that cannot lawfully be excluded or limited, including under the Competition and Consumer Act 2010.
3. Lexus and the Dealer (as defined below) will not be liable for any loss (including but not limited to indirect or consequential loss), damage, liability or personal injury which is suffered or sustained (including without limitation that caused by any person’s negligence) relating to the Damage except for any liability which cannot be excluded by law (in which case liability is limited to the minimum allowable by law).
4. The Lexus New Vehicle Warranty (which expires at the earliest of 4 years or 100,000km (the Warranty Period) and is subject to warranty terms and conditions), will apply to the Vehicle, except in relation to the Damage. For the avoidance of doubt the New Vehicle Warranty will not cover the costs of the repair of the Damage (as defined, including any indirect or consequential damage) under the New Vehicle Warranty. Any repair of the Damage will be undertaken by the Purchaser at its own cost.
5. In all other respects, Lexus’ New Vehicle Warranty will apply to the Vehicle.
6.      Sydney City Lexus through our insurer WILL warrant all Hail damaged areas of the vehicle for the duration of The Lexus Warranty, which provides 4 years warranty, with 100,000 kilometres(the Warranty Period). For the avoidance of doubt, the Lexus Warranty will not cover the costs of the repair of the Damage (as defined, including any indirect or consequential damage). Any repair of the
damage will be undertaken by Sydney City Lexus through its insurer at its own cost.
7. Purchaser warrants and agrees that it will:
(a) bring the Damage, and the limitations to the Lexus New Vehicle Warranty and other Lexus warranties described above, to the attention of any person/entity who subsequently purchases the Vehicle within the Warranty Period (Subsequent Purchaser), before the Subsequent Purchaser purchases the Vehicle from the Purchaser; and
(b) require any such Subsequent Purchaser to do the same in relation to later subsequent purchasers who purchase the Vehicle within the Warranty Period.


DAMAGED VEHICLE DISCLAIMER FORM (DEALER AND LEXUS)
1. Dealer acknowledges that the Vehicle (as defined below) it is purchasing from Toyota Motor Corporation Australia Ltd ABN 64 009 686 097 (Lexus) has suffered the Damage (as defined below). Dealer enters into this Agreement, in consideration of the reduced price of the Vehicle, of its own free will and has read and understood the terms of this Agreement.
2. Dealer acknowledges and agrees that:
(a) The Vehicle cannot be sold as a new vehicle and must be sold as a demonstrator vehicle and the Dealer must be honest and transparent with any prospective purchasers regarding the Vehicle, including by specifically bringing the following matters to the attention of any prospective purchaser before they agree to purchase the Vehicle: 
i. full details of all Damage to the Vehicle (including any problems that may occur with the Vehicle in future as a result of the existing damage, even if those problems may not be initially apparent to the purchaser); 
ii. the limitations on the Lexus New Vehicle Warranty (which expires at the earliest of 4 years or 100,000km (the Warranty Period)), and other Lexus warranties, as set out in the relevant DAMAGED VEHICLE DISCLAIMER FORM (PURCHASER AND DEALER) (Purchaser Disclaimer); and
iii. all other terms of the Purchaser Disclaimer, including the purchaser's obligation to bring these matters to the attention of any person/entity before they sell the Vehicle to any subsequent purchaser during the Warranty Period.
(b) Before Dealer sells the Vehicle to any purchaser, the Dealer must sign, and make sure that the purchaser signs and understands, the Purchaser Disclaimer and any other form required by law (for example Form 6 Motor Dealer’s Notice – Damaged Vehicle).
(c) If directed to do so by Lexus, Dealer must enforce the terms of the Purchaser Disclaimer against the purchaser of the Vehicle.
3. Dealer continually indemnifies Lexus against any loss, damage or liability of any kind (including but not limited to indirect or consequential loss) arising from:
(a) A failure by Dealer (including its employees and agents) to comply with its legal obligations in relation to the Vehicle or the terms of this Agreement; and
(b) Any misrepresentation by the Dealer (including its employees and agents) in relation to the Vehicle, the Damage or the limitations on Lexus warranties in relation to the Vehicle.
